LEGAL TERMS & ACCEPTANCE

These Legal Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you”, “Client”), and Review Lift LTD (“Review Lift”, “we”, “us”, or “Company”), governing your access to and use of the Review Harvest platform, software, and related services (the “Services”).

By accessing or using the Services, you confirm that you have read, understood, and agreed to be bound by these Legal Terms.


IF YOU DO NOT AGREE TO ALL OF THESE LEGAL TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms, policies, or documents that may be posted on the Services from time to time are expressly incorporated into these Legal Terms by reference.

We reserve the right, in our sole discretion, to modify these Legal Terms at any time. Changes will be indicated by updating the “Last Updated” date. You waive any right to receive individual notice of such changes. Continued use of the Services after changes are posted constitutes acceptance of the revised Legal Terms.

The Services are intended solely for users who are at least 18 years of age. Use by individuals under 18 is strictly prohibited.

You are responsible for ensuring that your use of the Services complies with all applicable laws in your jurisdiction, including but not limited to UK GDPR, the Data Protection Act 2018, PECR, and equivalent international privacy and electronic communications regulations.

1. OUR SERVICES

The Services are provided for business use. The information made available through the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be unlawful or would require us to be registered, licensed, or otherwise authorised in that jurisdiction.

Users who access the Services from outside the United Kingdom do so at their own initiative and are solely responsible for compliance with any applicable local laws and regulations.

2. INTELLECTUAL PROPERTY RIGHTS

Our Intellectual Property

We are the owner or the licensee of all intellectual property rights in the Services, including all software, source code, databases, functionality, designs, text, graphics, audio, video, and other materials (collectively, the “Content”), together with all associated trademarks, service marks, logos, and branding (the “Marks”).

The Content and Marks are protected by copyright, trademark, and other intellectual property laws and treaties in the United Kingdom and internationally.

The Content and Marks are provided “as is” for your internal business use only.

Licence to Use

Subject to your compliance with these Legal Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to:

- access the Services; and

- download or print extracts of the Content,

solely for your internal business purposes.

Except as expressly permitted, no part of the Services, Content, or Marks may be copied, reproduced, distributed, sold, sublicensed, or exploited for any commercial purpose without our prior written consent.

Any breach of this section constitutes a material breach and may result in immediate termination of your access to the Services.

3. USER SUBMISSIONS & CONTRIBUTIONS

Submissions

Any feedback, ideas, suggestions, or other information you submit to us (“Submissions”) shall be treated as non-confidential and non-proprietary. You grant us a perpetual, irrevocable, royalty-free right to use such Submissions for any lawful purpose without compensation.

Contributions

Where the Services allow you to post or upload content (“Contributions”), you retain ownership of your Contributions. However, by submitting Contributions, you grant us a worldwide, non-exclusive, royalty-free licence to use, host, reproduce, distribute, display, and adapt those Contributions in connection with operating and promoting the Services.

You warrant that:

- you own or control all rights in your Contributions;

- your Contributions do not infringe any third-party rights; and

- your Contributions comply with applicable laws and regulations.

We reserve the right to remove or edit Contributions at our discretion.

4. USER REPRESENTATIONS

By using the Services, you confirm that:

- all information you provide is accurate and up to date;

- you have legal capacity to enter into these Legal Terms;

- you will comply with all applicable laws; and

- you will not use the Services for unlawful, misleading, or abusive purposes.

5. REGISTRATION & ACCOUNT SECURITY

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. We may suspend or terminate accounts using misleading, offensive, or inappropriate usernames.

6. PAYMENTS & SUBSCRIPTIONS

Payments

All fees are payable in GBP (£) unless stated otherwise. Prices may change with reasonable notice.

Subscriptions

Subscriptions renew automatically unless cancelled before the end of the current billing period. You may cancel at any time via your account or by contacting [email protected]. Cancellation takes effect at the end of the paid period.

No refunds are provided for partial billing periods unless required by law.

7. PROHIBITED ACTIVITIES

You must not:

- misuse the Services;

- send communications without lawful consent;

- interfere with system security;

- scrape, reverse engineer, or exploit the Services;

- harass, mislead, or abuse others;

- use the Services in breach of UK law, including data protection or electronic communications laws.

8. THIRD-PARTY SERVICES

The Services may link to third-party websites or integrations. We are not responsible for third-party content, policies, or services. Your use of third-party services is at your own risk.

9. DATA PROTECTION & PRIVACY

We process personal data in accordance with:

- the UK GDPR

- the Data Protection Act 2018

- the Privacy and Electronic Communications Regulations (PECR)

Our Privacy Policy forms part of these Legal Terms.

You are solely responsible for ensuring that you have obtained valid, lawful consent before uploading or using any personal data within the Services.

10. TERMINATION

We may suspend or terminate your access immediately if you breach these Legal Terms or applicable law. Upon termination, your right to use the Services ends and you must export any data you wish to retain.

11. DISCLAIMER

The Services are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied.

12. LIMITATION OF LIABILITY

Nothing in these Legal Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under UK law.

Subject to this, our total liability shall not exceed the fees paid by you in the one (1) month preceding the claim.

13. INDEMNITY

You agree to indemnify and hold us harmless from any claims arising from:

- your misuse of the Services;

- your breach of these Legal Terms;

- unlawful communications sent using the Services;

- violations of data protection or electronic communications laws.

14. GOVERNING LAW & JURISDICTION

These Legal Terms are governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction.
